The Website provides general information about our business, markets, products, and capabilities. Unless expressly stated otherwise, information published on the Website does not constitute a binding offer to sell, a guarantee of product availability, or a commitment to enter into a commercial transaction.
Specific products and services are subject to availability, supplier confirmation, applicable regulations, and mutually agreed commercial terms.

4. Eligibility and Business Authority
You may use the Website for lawful personal, informational, or business purposes.
If you access the Website or communicate with APS Global on behalf of a company, organization, or other legal entity, you represent that you are authorized to act on its behalf.
You agree to provide accurate, current, and complete information when submitting inquiries, requesting quotations, or discussing potential commercial transactions.
APS Global reserves the right to decline inquiries or suspend communications where information appears misleading, unlawful, fraudulent, or inconsistent with our compliance obligations.

5. Website Use and Acceptable Conduct
You agree to use the Website lawfully and responsibly.
You must not:
- Use the Website for fraudulent, deceptive, unlawful, or unauthorized purposes.
- Submit false identities, misleading business information, or fraudulent sourcing requests.
- Attempt to gain unauthorized access to our systems, servers, accounts, or data.
- Introduce viruses, malicious code, or other harmful technology.
- Interfere with the security, availability, or operation of the Website.
- Copy, reproduce, distribute, or commercially exploit Website content without authorization, except where permitted by law.
- Use automated tools to extract Website content in a manner that violates applicable law or our rights.
- Misrepresent your relationship with APS Global or imply that you are our authorized representative without written permission.
- Use the Website to facilitate sanctions evasion, money laundering, bribery, prohibited trade, or other unlawful commercial activity.
We may restrict or terminate access to the Website where reasonably necessary to protect our business, users, systems, or legal interests.

6. Product Information and Availability
We endeavor to present our products, markets, and capabilities accurately. However, Website content is provided for general informational purposes and may change without notice.
Product descriptions, photographs, specifications, grades, origins, packaging formats, quantities, certifications, and availability may be indicative unless expressly confirmed in a written commercial agreement.
The actual availability and suitability of any product may depend on supplier confirmation, production schedules, stock, regulatory approvals, transportation arrangements, market conditions, and destination requirements.
You should obtain written confirmation of all material product specifications and commercial conditions before committing to a purchase.
Nothing on the Website guarantees that a particular product will be available in a specific quantity, at a particular price, or for delivery on a particular date.

7. Quotations, Orders, and Commercial Agreements
Submitting an inquiry, requesting a quotation, or exchanging preliminary correspondence does not, by itself, establish a binding purchase or supply agreement.
Unless expressly stated otherwise in a written offer:
- Quotations are subject to confirmation and may be withdrawn or revised before acceptance.
- Prices, quantities, lead times, specifications, and availability may change until confirmed.
- Orders are subject to acceptance by authorized representatives of APS Global.
- Additional documentation, due diligence, payment arrangements, and compliance checks may be required before a transaction proceeds.
A commercial transaction will be governed by the applicable purchase order, sales contract, supply agreement, pro forma invoice, accepted quotation, or other binding transaction documents.
Where these Terms conflict with a signed commercial agreement, the signed agreement will control for that transaction to the extent permitted by applicable law.
No employee, intermediary, broker, or other representative may bind APS Global beyond their actual authority.

8. Prices, Payments, Taxes, and Charges
Unless expressly stated otherwise, Website content does not establish binding product prices, payment terms, credit facilities, or financing commitments.
The applicable commercial documents should specify, as relevant:
- Product prices and the currency of payment.
- Payment methods, payment deadlines, and any required deposits.
- Bank charges, transfer fees, and other transaction costs.
- Taxes, duties, customs charges, and other governmental assessments.
- Shipping, freight, insurance, storage, and handling costs.
- Any applicable late-payment charges or other contractual remedies.
You are responsible for charges allocated to you under the applicable commercial agreement.
APS Global may require appropriate verification of payment sources and counterparties before accepting or processing a transaction. We may delay or decline a transaction where required for legal, regulatory, fraud-prevention, or compliance reasons.

9. Shipping, Delivery, and Transfer of Risk
Delivery arrangements for commercial transactions must be agreed separately in writing.
The relevant transaction documents should identify the delivery location, delivery schedule, shipping method, applicable trade terms, responsibility for freight and insurance, customs clearance obligations, and the point at which risk and title to the goods transfer.
Where the parties agree to use Incoterms®, the applicable rule and named place or port should be expressly identified, together with the applicable edition.
Delivery dates stated in preliminary communications are estimates unless expressly guaranteed in the applicable contract.
APS Global will communicate material supply or delivery issues as reasonably practicable. Neither party will be excused from obligations except to the extent permitted by the applicable contract and law.

10. Product Quality, Inspection, and Intended Use
Product quality requirements, testing, certificates, inspection procedures, warranties, and acceptance criteria should be documented in the relevant commercial agreement.
Customers are responsible for communicating their intended application, technical requirements, handling conditions, and destination requirements accurately.
Where appropriate, customers should independently verify product suitability, specifications, authenticity, documentation, and regulatory acceptability before use or resale.
Products intended for food, nutrition, healthcare, hygiene, chemical, industrial, agricultural, or other regulated applications may be subject to specific laws, technical standards, labeling requirements, and handling restrictions.
No Website statement should be interpreted as a substitute for product-specific technical documentation, professional advice, or mandatory regulatory approval.
Nothing in these Terms excludes an express contractual warranty or a legal right that cannot lawfully be excluded.

11. Compliance and Responsible Trade
APS Global seeks to conduct business responsibly and in accordance with applicable laws and regulatory requirements.
Depending on the transaction, parties may be required to comply with applicable requirements relating to:
- Import and export licensing, customs declarations, and trade documentation.
- Economic sanctions, restricted parties, and export controls.
- Anti-bribery, anti-corruption, fraud prevention, and anti-money-laundering measures.
- Product safety, quality, labeling, and environmental requirements.
- Origin, traceability, ownership, and lawful sourcing of goods.
- Rules governing agricultural commodities, chemicals, minerals, and natural resources.
Each party is responsible for the legal obligations applicable to its own activities.
APS Global may request identity, company registration, beneficial ownership, source-of-goods, end-use, origin, licensing, or other supporting information where reasonably necessary for due diligence or regulatory compliance.
We reserve the right to suspend, refuse, or terminate a proposed transaction where we reasonably believe that proceeding could violate applicable law, expose a party to prohibited conduct, or create an unacceptable compliance risk.
No provision of these Terms requires either party to undertake an unlawful act.

12. Third-Party Suppliers and External Services
APS Global may work with independent manufacturers, suppliers, distributors, freight forwarders, logistics providers, inspection companies, financial institutions, and other commercial partners.
Unless expressly agreed in writing, the existence of a business relationship does not mean that a third party is an employee, agent, joint venture partner, or legal representative of APS Global.
We may provide links to third-party websites or services for convenience. We do not control external websites and are not responsible for their content, availability, privacy practices, or independent terms.
Any separate relationship you establish with a third party is subject to the agreement between you and that third party, without prejudice to any rights you may have under applicable law.

13. Intellectual Property
Unless otherwise indicated, the Website and its content—including text, branding, logos, graphics, photographs, layouts, design elements, and other materials—are owned by or licensed to APS Global and are protected by applicable intellectual property laws.
You may access, view, and print Website content for legitimate personal or internal business reference.
Without our prior written permission, you may not reproduce, modify, publish, distribute, sell, commercially exploit, or create derivative works from our protected content, except where applicable law permits such use.
All third-party names, trademarks, and product brands remain the property of their respective owners.
Nothing in these Terms grants you ownership of APS Global's intellectual property or a license beyond the limited use expressly permitted here.

14. Business Inquiries and Submitted Information
When you submit an inquiry, quotation request, business proposal, or other communication, you remain responsible for the accuracy and lawfulness of the information you provide.
You should not submit confidential information, trade secrets, personal information belonging to others, or commercially sensitive documents unless you are authorized to do so and the information is reasonably necessary for the inquiry.
Unless a separate confidentiality agreement applies or the law requires otherwise, information submitted through the Website will not automatically be treated as confidential merely because it has been submitted to us.
Any confidentiality obligations concerning pricing, supplier identities, product specifications, commercial proposals, or transaction documents should be expressly agreed in writing.
We may use information in accordance with our Privacy Policy and applicable law to respond to inquiries, evaluate business opportunities, conduct due diligence, and manage commercial relationships.

15. Privacy and Data Protection
APS Global respects the privacy of individuals who visit our Website or communicate with our business.
Information collected through the Website may include contact details, company information, inquiry contents, technical information, and other information voluntarily submitted by visitors.
We will handle personal information in accordance with applicable law and any Privacy Policy published on the Website.
If a separate Privacy Policy is available, it should be read together with these Terms. If no Privacy Policy is currently published, APS Global should establish and publish one that accurately describes its data collection, use, retention, disclosure, security, and contact practices.
You should not submit unnecessary sensitive personal information through general inquiry channels.

16. Website Availability and Security
We aim to keep the Website accessible and functional but do not guarantee uninterrupted, secure, error-free, or continuous availability.
The Website may occasionally be unavailable because of maintenance, technical failures, security incidents, hosting issues, or circumstances outside our control.
We may update, suspend, modify, or discontinue any part of the Website without notice where reasonably necessary.
You are responsible for maintaining appropriate security on your own devices and networks when accessing the Website.

17. Disclaimers
To the maximum extent permitted by applicable law, the Website and its general informational content are provided on an “as available” and “as is” basis.
We do not warrant that:
- The Website will always be available or free from technical errors.
- All information will remain current, complete, or suitable for every purpose.
- Every product described will be available for purchase.
- Preliminary descriptions or communications constitute binding commercial commitments.
Website information is not intended to replace independent legal, financial, technical, regulatory, or other professional advice.
This section does not override express promises in a binding commercial agreement or exclude warranties, representations, or obligations that applicable law does not permit us to exclude.

18. Limitation of Liability
To the maximum extent permitted by applicable law, APS Global will not be liable for indirect, incidental, special, exemplary, or consequential losses arising solely from the use of, or inability to use, the Website, including loss of anticipated profits, business opportunities, data, or goodwill.
We will not be responsible for losses resulting from your reliance on preliminary Website information without obtaining appropriate written confirmation, where such reliance is not otherwise protected by law.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury where exclusion is prohibited, breach of obligations that cannot legally be excluded, or any other liability that cannot lawfully be limited.
Any liability arising from the sale or supply of goods will be determined under the applicable commercial agreement and mandatory law.
Important: No financial cap or exclusion should be added to a final version of this section without legal review and confirmation that it is enforceable under the laws applicable to APS Global and the relevant transaction.

19. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses, claims, damages, and reasonable expenses arising from your unlawful use of the Website, your material breach of these Terms, or your infringement of another person's rights.
This provision does not apply to the extent a claim results from APS Global's own negligence, breach, unlawful conduct, or other conduct for which applicable law does not permit responsibility to be excluded or transferred.
Any indemnity applicable to a specific commercial transaction should be addressed in the relevant commercial agreement.

20. Force Majeure
Neither party will be liable for a failure or delay in performing an obligation to the extent caused by circumstances beyond its reasonable control, subject to applicable law and any relevant commercial agreement.
Such circumstances may include natural disasters, severe weather, epidemic or pandemic events, armed conflict, civil unrest, governmental restrictions, sanctions, port closures, transport disruptions, interruptions to utilities or communications, and significant supply-chain disruptions.
The affected party should notify the other party within a reasonable time and take reasonable steps to mitigate the impact.
Payment obligations for goods or services already delivered, and any other obligations that are not excused under the applicable contract or law, remain unaffected.
The rights of either party to suspend, terminate, or obtain other remedies will be governed by the relevant commercial agreement and applicable law.

21. Suspension and Termination
We may suspend or restrict your access to the Website if reasonably necessary to address a security risk, unlawful activity, misuse, or material breach of these Terms.
You may stop using the Website at any time.
Termination or suspension of Website access does not automatically terminate a separate supply contract, purchase order, or other commercial agreement. Such agreements will be governed by their own termination provisions and applicable law.
Provisions that by their nature should continue after termination—including intellectual property protections, accrued rights, confidentiality obligations where agreed, and applicable dispute-resolution provisions—will survive to the extent permitted by law.

22. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our business, Website functionality, or legal obligations.
The revised version will be published on this page with an updated “Last Updated” date.
Changes will apply from the stated effective date or date of publication, as appropriate and permitted by law. Changes will not retroactively alter the terms of an existing commercial contract unless the parties validly agree otherwise.
Your continued use of the Website after updated Terms take effect constitutes acceptance where such acceptance is recognized under applicable law. Where express consent is legally required, we will obtain it as appropriate.

23. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Republic of Liberia, subject to applicable mandatory legal requirements.
The parties should first attempt in good faith to resolve disputes relating to Website use or these Terms through direct discussions.
If a dispute cannot be resolved amicably, it shall be submitted to a court of competent jurisdiction in Liberia, unless the parties have entered into a separate enforceable agreement providing for arbitration or another dispute-resolution mechanism.
Nothing in this section prevents a party from seeking urgent interim relief from a competent court where legally available.
Commercial transactions may be subject to different governing-law, jurisdiction, or arbitration provisions if expressly agreed in the applicable transaction documents.

24. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or severed to the minimum extent necessary.
The remaining provisions will continue in effect to the extent permitted by applicable law.

25. No Waiver
A failure or delay by APS Global to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
Any waiver must be established in accordance with applicable law and, where appropriate, recorded in writing.

26. Entire Agreement
These Terms constitute the agreement governing general use of the Website, together with any policies expressly incorporated into them.
They do not replace or override a separately executed commercial contract, accepted purchase order, or other binding transaction document, except where the relevant document expressly provides otherwise.
